The Holding Foreign Companies Accountable Act was enacted in December 2020 (as further amended, the "HFCA Act"). The HFCA Act states that if the SEC determines that an issuer has filed audit reports issued by a registered public accounting firm that has not been subject to inspection by the PCAOB for three consecutive years, the SEC shall prohibit the securities of the issuer from being traded on a national securities exchange or in the over-the-counter trading market in the United States. On December 29, 2022, the Accelerating Holding Foreign Companies Accountable Act was signed into law, which reduced the number of consecutive non-inspection years required for triggering the listing and trading prohibitions under the HFCA Act from three years to two years. We are in discussions for a new shareholder dividend tax agreement; however, there is no certainty this tax arrangement will be granted.
